Terms and Conditions of Services

**Approval of Orders—Any statement in an order document that is not expressly approved or acknowledged in writing or verbally by RMS will not be considered a part of the agreement between the parties.

**Terms of Sale—Invoices will be printed and dated as of the date of services. Customers may not make deductions or offsets of any kind from payments due to RMS unless the customer has received permission from RMS to do so.

 **Terms of Payments—Invoices are due and payable in full within thirty (30) days from their date, unless other terms have been agreed to in writing by RMS. An accruable finance charge of 1-1/2% monthly will be added to any invoice not paid with in the 30 day allowance. Acceptable methods of payment are Check, Cash and all major Credit/Debit Cards. Returned checks will incur a $25 charge to cover banking fees and administrative costs.

 **Calibration Intervals—Calibration intervals are per the request of the customer. RMS will maintain all data history, which is made available 24/7 in our online database. This may assist customers in making his/her determinations, but RMS makes no recommendations regarding the accuracy of the intervals determined by the customer.

**Travel/Transportation Costs and Minimum Onsite Fees—Travel costs will be billed at an hourly rate of $75 per hour, unless stated otherwise on an order approval document. For onsite calibration/repair requests, there is a minimum charge of $150 per onsite requests.

 **Sales and Similar Taxes—All services are not subject to sales taxes. Sales tax will apply to any parts or new purchases within the state of Wisconsin, unless a tax exempt document is provided by the customer.

** Limitation of Liability—Under no circumstances will RMS be liable to a customer for any indirect, special, consequential or indirect damages relative to the service, product or any order of services or products including, but not limited to, damages for compensation, reimbursement or loss of present or prospective expenditures, profits, commitments or investments, whether made in the establishment, maintenance or development of business reputation or goodwill, cost of capital, or for any other reason whatsoever, including but not limited to, the claims of any third party.
